Session of October 24, 2026. Investor D did not answer, so three seats voted. The script built the sheet, and we corrected it by hand for the ten-for-one split of November 2025 and for the one-off gain from the ended Warner Bros. Discovery merger. This is the committee's first review of Netflix.
Bottom line
Netflix is the best-run business this committee has seen in weeks, and it still drew no Buy. Take out the gain from the collapsed Warner Bros. Discovery merger and the stock costs about 20.8 times after-tax operating income. Fiscal 2025 free cash flow of $9.46B is a 3.5% yield on the market cap. The 10-year Treasury pays 4.96%.
On our arithmetic, that price needs clean free cash flow to compound at roughly 8% to 13% a year for a decade. Two seats put their fiscal 2029 cash flow inside that band, one below it, none above.
The split is over what closes the gap. Investor A wants the business to grow into the price, Investor C thinks rates and credit decide first, and Investor B thinks the earnings base is overstated. The first dated test is the 2026 10-K, due by March 1, 2027.
The business in 60 seconds
Netflix reports one segment: a paid streaming service for series, films, games and live events, sold by subscription and, on its cheaper plan, with advertising. In the quarter to September 30, 2026, it made $4.46B of operating income on $12.87B of revenue (10-Q, filed October 21, 2026). It ended 2025 with over 325 million paid memberships, and advertising revenue more than doubled to over $1.5B (DEF 14A, filed April 16, 2026).
Content is the real capital. Capex was $688.22M in 2025, against $34.61B of intangible assets, mostly the library, and $19.60B of purchase commitments off the balance sheet (10-Q, September 30, 2026).
No one controls Netflix. The proxy describes a single class of common stock and no controlling holder (DEF 14A, April 16, 2026). There is no dividend; capital goes back as buybacks.
| Fiscal year | Revenue | Operating margin | Free cash flow | Diluted shares |
|---|---|---|---|---|
| 2021 | $29.7B | 20.9% | -$0.13B | 4.55B |
| 2022 | $31.6B | 17.7% | $1.6B | 4.51B |
| 2023 | $33.7B | 20.8% | $6.9B | 4.5B |
| 2024 | $39.0B | 26.7% | $6.9B | 4.4B |
| 2025 | $45.2B | 29.5% | $9.5B | 4.3B |
10-K fiscal year rows, SEC EDGAR. Share counts for 2021 and 2022 are multiplied by ten for the November 2025 split; the filed table mixes both bases.
What changed
- Third-quarter results. Revenue rose 11.8% and operating income 37.3% in the quarter to September 30, 2026. The 34.6% margin was "ahead of our forecast primarily due to the timing of expenses" (8-K Exhibit 99.1, October 20, 2026). The full-year guide of $51.1B at a 31.5% margin, set against nine months at 33.5%, implies a fourth quarter near 26%.
- The Warner Bros. Discovery deal ended. The agreement was terminated on February 27, 2026, and the 10-Q tags the item in the first quarter. The fee was reported at $2.8B, booked below operating income (TradingView, February 27, 2026; Moomoo, April 2026).
- Softer outlooks, reported. Trefis reported on October 20, 2026, that 2026 advertising guidance fell from $3.0B to $2.7B and free cash flow guidance from $12.5B to $12.0B. Neither figure is in the part of the exhibit we could read.
- A new head of content. Peter Rice replaces Bela Bajaria as chief content officer on October 26, 2026 (company announcement, October 15, 2026).
- The neighbours. Disney's Entertainment segment ran a 14.8% margin in the quarter to June 27, 2026 (10-Q, August 5, 2026). Roku grew advertising revenue 24.8% to $672.82M in the quarter to June 30, 2026 (10-Q, August 6, 2026).
The bull case on Netflix
- Scale shows in the income statement. Operating income compounded at 21.1% a year from 2021 to 2025, nearly double revenue's 11.1%.
- The margin gap to the nearest studio is wide. Netflix's quarterly margin is more than double that of Disney's Entertainment segment.
- The buyback shrinks the company. $21.44B of repurchases over four fiscal years took split-adjusted diluted shares from 4.51B to 4.3B, with stock pay at 0.8% of revenue.
- The balance sheet is light. Net debt of $6.91B is under half of trailing operating income of $15.56B.
That is what a scale advantage looks like when it starts paying off.
Investor A, Watch, on margins rising from about 21% to 29.5%
Operating leverage is proven, not promised
Investor C, Watch, even while declining to buy
The bear case on Netflix
- The clean yield sits below the 10-year. 3.5% against 4.96%, so growth has to carry the whole case.
- The cheap screens are a mirage. The headline 18.3 times earnings includes the termination gain. Investor C, taking it out of trailing free cash flow, puts the price at 31.5 times cash flow.
- The second engine slipped. The reported advertising cut came from Netflix's own ad technology delays, not from the market.
- There is no asset floor. Equity of $29.29B less $34.61B of intangibles is negative before goodwill, which the sheet could not source.
This may be a good business, but it is not a good investment at this valuation.
Investor B, Avoid
It says the market is paying re-acceleration prices into a decelerating liquidity impulse.
Investor C, Watch, on the rate backdrop
Where the committee splits
No seat voted Buy: two Watch and one Avoid, with Investor D absent. They divide over the earnings base and over what closes the gap.
Is Netflix's earning power its 2025 cash flow, or a five-year average?
| Position | Seats | The figure it rests on |
|---|---|---|
| Use the current run rate | A, C | Fiscal 2025 free cash flow of $9.46B |
| Average the cycle | B | Net income averaged $6.94B over 2021 to 2025 |
What settles it. The 2026 margin against the 31.5% guide, and free cash flow without the fee, in the 2026 10-K due by March 1, 2027.
From the chair, to Investor B. Your average includes 2021 and 2022, when the margin was 17.7% to 20.9%, against 29.5% in 2025. What would the 2026 10-K have to show for you to drop those years?
Does the yield gap close through the business or through rates?
| Position | Seats | The figure it rests on |
|---|---|---|
| The business must grow into it | A | 2026 revenue guided up 13% |
| Rates and credit move first | C | High-yield spread of 3.40%, up 72 basis points in 30 days |
What settles it. The 2027 guide in the fourth-quarter results release, and the monthly high-yield spread from FRED against Investor C's 4.50% line.
From the chair, to Investor A. You name advertising as your weakest link, yet your bull case reaches a 37% margin on advertising leverage. If the 2027 outlook keeps advertising under $3.0B, does your $15.0B base case still stand?
From the chair, to Investor C. Roku's quarter ended June 30, before the Netflix cut. Which Netflix figure, in which filing, would show you the shortfall is demand rather than timing?
| Investor | Verdict | What breaks its thesis |
|---|---|---|
| A | Watch 6 | 2027 growth guided below 7%; a 2026 margin under 30.0% or fee-free free cash flow under $8.5B in the 10-K due by March 1, 2027; a deal above $10B. Critical environment: pricing acceptance; visible churn moves it to Avoid. |
| B | Avoid 8 | 2026 recurring free cash flow under $5B; net debt above $13.88B at December 31, 2026. Critical environment: lasting margin expansion with strong cash conversion, which could move it toward Watch. |
| C | Watch 6 | A 2026 margin under 31.5%; 2026 advertising under $2.7B; the high-yield spread above 4.50% for two monthly prints, which moves it to Avoid. Critical environment: rates and credit. |
| D | No response | No vote and no breakers recorded. |
Valuation
What the price requires. This is the desk's arithmetic, at a 9.46% discount rate (the 10-year plus 4.5 points) with 3% growth after year ten. Trailing free cash flow of $11.38B probably carries the fee in cash, so we reran the test on fiscal 2025's $9.46B. On that base, $270.40B needs 10.7% a year for ten years, which puts fiscal 2029 at $14.2B. At 8.46% the need falls to 8.3% and $13.0B; at 10.46% it rises to 13.0% and $15.4B. The unadjusted base gives 6.0% to 10.4%, and no seat changes place. On enterprise value of $277.3B the fiscal 2025 yield is 3.4%.
Hatched bars are our arithmetic on fiscal 2025 free cash flow; red marks a seat below the lowest hurdle.
| Investor | Bear | Base | Bull | Weighted, year 3 | Against the price |
|---|---|---|---|---|---|
| A | 25%, $10.7B | 50%, $15.0B | 25%, $19.2B | $15.0B | inside the band |
| B | 25%, $6.15B | 50%, $12.51B | 25%, $16.57B | $11.9B | below the band |
| C | 25%, $10B | 55%, $15B | 20%, $18B | $14.4B | inside the band |
Year three is fiscal 2029 for all three seats. Investor D gave no scenarios.
Two seats sit inside the band, one below, none above. Investor A and Investor C expect cash flow roughly where the price needs it, and neither will pay for that. Investor A: "A wonderful business at a full price is worth watching." Investor C wants a starting yield that covers a guidance miss. Investor B assumes only 70% cash conversion in its base case, which is why it lands lowest. For contrast, our MGM review found a market cap that assumed cash flow would shrink.
What each seat would pay.
| Investor | Entry discipline |
|---|---|
| A | A 5.5% yield on fee-free free cash flow, or about 16 times trailing after-tax operating income |
| B | 10.5 times defensibly normalized earnings or less |
| C | A 5% clean forward free cash flow yield, or sooner on a 2027 guide of 12% growth with a higher margin |
Comparables
| Company | Market cap | Growth last FY | Operating margin | P/E | FCF yield |
|---|---|---|---|---|---|
| Netflix (NFLX) | $270.4B | 15.9% | 29.5% | 18.3x | 4.2% |
| Disney (DIS) | $194.3B | 3.4% | 18.6% | 22.6x | 4.3% |
| Roku (ROKU) | $23.5B | 15.2% | -0.1% | 66.3x | 3.0% |
| Alphabet (GOOGL) | $3.92T | 15.1% | 32.0% | 16.0x | 1.4% |
| Comcast (CMCSA) | $80.6B | -0.0% | 16.7% | 7.1x | 24.4% |
Each company's filings and the Yahoo Finance close, computed alike. Netflix's P/E and yield are trailing and include the termination gain; on fiscal 2025 they are 24.6x and 3.5%.
On enterprise value to after-tax operating income, Netflix is at 21.3x, Disney 17.2x, Comcast 10.5x and Alphabet 31.4x. Net debt runs 0.4 times operating income at Netflix, 1.8 at Disney and 3.8 at Comcast.
Netflix's trailing yield matches Disney's only because of the gain. The premium buys five times Disney's growth and eleven points more margin on less debt. Comcast is the cheap cash flow on the page, and it is not growing. Spotify is left out as a foreign issuer; Paramount Skydance produced no sheet.

Correction. This article first said neither token was investable, on a missing quote for NFLXx and a 2.94% round-trip cost for Backpack's NFLX.US. Both were checked on a Saturday, with the US market closed. We now judge that cost only during regular US market hours, and we have removed the figure and the verdicts.
